  Czech Republic

What is a partnership without legal personality?

Under Czech law, following a major amendment to the Civil Code, a partnership without legal personality is referred to simply as a partnership. It is governed by Sections 2716 to 2746 of the Civil Code. It is a contract between two or more persons to join together as partners for the common purpose of carrying out an activity or managing an enterprise. Where the pooling of assets has been agreed, a list of the partners’ contributions, signed by them, is required for the contract to be valid. It is deemed that only the assets specified in the list have been pooled. The partners are jointly and severally liable for debts arising from the joint activity.
