KG on the acquisition of the Bagstar.pl Group, consisting of: BAGSTAR.PL spółka z ograniczoną odpowiedzialnością [limited liability company under Polish law] and BAGSTAR.PL spółka z ograniczoną odpowiedzialnością spółka komandytowa [limited partnership limited liability company under Polish law].

 

COMPREHENSIVE LEGAL SERVICES

SDZLEGAL Schindhelm advised the IGEFA Group, providing comprehensive support throughout the transaction process, including in particular the legal due diligence audit of the Bagstar Group, during the preparation and negotiation of the transaction documents and in obtaining antitrust clearance, as well as the implementation of the other transaction conditions.

CLIENT OF THE FIRM: IGEFA GROUP

IGEFA SE & Co. KG is the holding company at the head of the IGEFA Group, a European market leader in the wholesale distribution of services and products for professional cleaning, hygiene and
care. The IGEFA Group also distributes wholesale disposables
and packaging, health and safety products, including workwear.

The Bagstar Group is in the business of wholesaling primarily food and disposable packaging, as well as consumables for shops and catering establishments. It supplies items used in the HoReCa sector, including by restaurants, catering companies, hotels, bakeries or offices, among others. In addition, the Bagstar Group is a pioneer in the market for eco-friendly packaging and disposable crockery.

TRANSACTION DETAILS

The transaction is part of the IGEFA Group's strategy to further strengthen its presence in the Polish market and was finalized on 31 October 2023. The closing of the transaction was subject to the approval of the President of the Office of Competition and Consumer Protection.
